SUBJECT (MAIN DIRECTIONS) AND OBJECTIVES OF JSC JV "UZBAT A.O." ACTIVITY

1. The primary objective of UZBAT's activities is to generate profit through activities involving the cultivation, processing/fermentation, sale, import, and export of tobacco, as well as the production, sale, import, export, marketing, and distribution of tobacco and related products. UZBAT may also engage in any other lawful activities unrelated to its primary purpose, as permitted by the laws of the Republic of Uzbekistan.

2. To achieve the objectives outlined in point 1, UZBAT's main scope of activities shall include:

– Manufacturing and selling goods, performing work, and providing services to enterprises, organizations, and individuals;

– Conducting foreign economic activities in compliance with the laws of the Republic of Uzbekistan;

– Independently establishing prices and terms for the purchase and sale of its goods and services;

– Engaging in wholesale and retail trade within and outside the Republic of Uzbekistan, either directly or through intermediaries, in accordance with the laws of the Republic of Uzbekistan;

– Manufacturing, processing, constructing, acquiring, engaging in transactions, leasing, or otherwise obtaining various types of assets and property (both tangible and intangible, immovable and movable), as well as selling, leasing, mortgaging, transferring rights of use, or otherwise disposing of such property within and outside the Republic of Uzbekistan, in compliance with the laws of the Republic of Uzbekistan;

– Independently entering into contracts and agreements with any parties, engaging in commercial and economic activities, and assuming various obligations within and outside the Republic of Uzbekistan;

– Provide various services, including consulting, administrative, and broker services, in accordance with the laws of the Republic of Uzbekistan;

– Conducting import and export operations, either independently or through intermediaries, as required and consistent with UZBAT's commercial activities and its core objectives, as specified in Article 5.1 of UZBAT's Charter, and in compliance with the laws of the Republic of Uzbekistan;

– conclude or terminate contracts with other enterprises to establish partnerships, joint ventures, associations, consortiums, etc. in the Republic of Uzbekistan and abroad in accordance with the legislation of the Republic of Uzbekistan;

– Creating subsidiaries, branches, and representative offices in the Republic of Uzbekistan and abroad, in accordance with the laws of the Republic of Uzbekistan;

– Participating in the activities of commodity and currency exchanges;

– To raise funds or organize fundraising, or provide collateral to any individual for UZBAT's obligations, or by imposing a lien on the debtor's property;

– To invest UZBAT's funds in the Republic of Uzbekistan and beyond, as well as to acquire and/or transfer, exchange, or otherwise utilize investments, shares, loans, and other securities in accordance with the legislation of the Republic of Uzbekistan;

– To utilize UZBAT's funds for the development and expansion of UZBAT's business activities and any subsidiary companies;

– To lend or advance monetary resources or otherwise provide loans to any individual, with or without guarantees, and on any suitable terms and in accordance with the laws of the Republic of Uzbekistan;

– To guarantee, by obligation or the right to place a lien on the debtor's property, any property of the company, the performance of contracts or obligations of UZBAT, or any other individual;

– To issue or sell any shares and/or other securities of UZBAT to any individual and enter into any agreements related to such issuance or sale in accordance with the laws of the Republic of Uzbekistan;

– To issue powers of attorney;

– To submit applications for registration, register, purchase, or otherwise acquire, sell, license, transfer, or trade in trademarks, names, service marks, designs, patents, inventions, know-how, and any other forms of intellectual property within and outside the Republic of Uzbekistan, in accordance with the laws of the Republic of Uzbekistan;

– To employ any individual, provide salaries, pensions, and other benefits to any officers or employees, or former officers or employees of UZBAT, or their relatives or dependents, and develop and implement pension, benefit, bonus, and incentive plans;

– To undertake insurance against losses, risks, and any other forms of liability in accordance with the legislation of the Republic of Uzbekistan;

– To organize and participate in exhibitions, auctions, and other similar activities within the Republic of Uzbekistan and abroad;

– To make charitable and sponsorship contributions and allocate funds for healthcare, culture, and science;

– To act within and outside the Republic of Uzbekistan as a principal, agent, contractor, or in any other capacity, independently or in collaboration with other individuals, either directly or through an agent, subcontractor, subsidiary, representative office, or by any other means, in accordance with the laws of the Republic of Uzbekistan;

– Provide medical assistance by establishing medical stations in UZBAT in accordance with the legislation of the Republic of Uzbekistan;

– Establish and operate radio stations in accordance with the legislation of the Republic of Uzbekistan;

– Conduct lotteries and advertising campaigns in accordance with the legislation of the Republic of Uzbekistan;

– Organize the publication of mass media in accordance with the legislation of the Republic of Uzbekistan

– Provide services in the field of design, construction, and operation of telecommunication networks, data transmission networks, as well as programming and information technologies;

– Engage in trade, intermediary, and trade and intermediary activities, including exports; buy/sell goods (services) for both local and foreign currency within the territory of the Republic of Uzbekistan and abroad, in accordance with the legislation of the Republic of Uzbekistan;

– Carry out any other activities not prohibited by the legislation of the Republic of Uzbekistan.

Types of activities that require a special permit (license) are carried out after the license is issued in accordance with the procedure established by law.
